What is the Cochlear Shareholder Class Action Investigation about?

Cochlear is a publicly listed company, traded on the Australian Securities Exchange (ASX).

On 15 August 2025, Cochlear published its results for the 2025 financial year (FY25) and its financial guidance for the 2026 financial year (FY26).

On 13 February 2026, Cochlear published its results for the first half of FY26 and revised (downgraded) its FY26 guidance. Following this downgrade, the company’s share price fell by almost 19%, causing losses to investors.

On 22 April 2026, Cochlear further downgraded its FY26 financial guidance. Following this downgrade, the company’s share price fell by over 40%, causing significant losses to investors.

Shine Lawyers’ investigation examines whether this loss was caused by any:

  • breaches of Cochlear’s continuous disclosure obligations; and/or

  • misleading or deceptive conduct.

In particular, it focuses on whether Cochlear:

  • had reasonable grounds for issuing and maintaining the FY26 guidance it released on 15 August 2025;

  • should have disclosed its 13 February 2026 downgraded FY26 guidance earlier than it did; and

  • should have disclosed its 22 April 2026 further downgraded FY26 guidance earlier than it did.

Frequently Asked Questions

What is a class action?

When Governments, large companies or institutions do the wrong thing and people are harmed or suffer loss as a result, an individual can have little to no means of bringing a legal claim.

Class actions are an important mechanism within Australia’s legal system that allow large groups of people to come together to pursue a claim collectively.

For a class action to take place, there are three criteria that need to be met:

  1. there must be 7 or more people that have claims against the same defendant; and

  2. the claims relate to the same or similar circumstances; and

  3. the claim must relate to at least one common issue of law or fact.

How long do class actions take to resolve?

It can take up to several years for a class action to resolve. The time taken from case commencement through to resolution and settlement administration depends on the particular case, and the nature of the claim.
